Terms of Service
Effective date: 25 April 2026Last updated: 26 September 2026
1. Acceptance of terms
By accessing or using AgentValet ("the Service") you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.
If you do not agree to these Terms, do not use the Service.
2. The Service
AgentValet provides an identity and governance layer for AI agents, including:
- Agent registration and RS256 cryptographic identity issuance
- An encrypted credential vault for storing third-party platform tokens
- A governed proxy that enforces per-agent permission scopes on outbound API calls
- An append-only audit log of all agent actions
- Human-in-the-loop approval workflows for sensitive operations
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Accounts
You must provide a valid email address to create an account. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us immediately at [email protected] if you suspect unauthorised access.
You are responsible for any actions taken by AI agents registered under your account. You must not share account credentials or allow third parties to access your account without your knowledge.
4. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Register agents that impersonate humans or other organisations without authorisation
- Circumvent or disable AgentValet's permission, approval, or circuit-breaker controls
- Conduct automated attacks, scraping, or denial-of-service against any platform
- Store credentials for platforms you are not authorised to access
- Attempt to access other customers' data or agent configurations
- Resell or sublicense the Service without our prior written consent
We may suspend or terminate accounts that violate these rules without prior notice.
5. API usage
Access to the AgentValet API requires a valid RS256-signed JWT issued by a registered agent. Rate limits apply per agent and per plan tier. Exceeding rate limits may result in temporary throttling or suspension of the agent.
You must not attempt to reverse-engineer the proxy, forge authentication tokens, or extract credentials from the vault outside of the authorised proxy flow.
6. Billing and payment
Paid plans are billed monthly or annually in advance. All fees are stated in USD unless otherwise specified. Payments are processed by Stripe. By providing payment details you authorise us to charge your payment method on the applicable billing cycle.
Apart from the money-back guarantee below, we do not offer refunds for partial billing periods. If you downgrade or cancel, your plan remains active until the end of the current billing period.
We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
30-day money-back guarantee
If you subscribe to a paid plan (Solo, Studio or Team) and ask for a refund within 30 days of the first payment for that subscription, we will refund everything you have paid for it, in full. This includes an annual payment and any metered usage charged in that period.
- How to ask: email [email protected] from the account owner's email address. You don't need to give a reason.
- How it's paid: we issue the refund within 5 business days to the original payment method, in the currency you were charged. How long it takes to reach you depends on your bank or card provider.
- What happens to the account: the refund ends the paid subscription and closes the account. If you ask, we will send you a copy of your audit log before we close it.
- Once per customer: the guarantee covers an organisation's first paid subscription. It does not apply to a new subscription taken out after a refund.
- Exclusions: it does not apply to an account we terminate for breach of section 4 or for fraud, or to an Enterprise agreement, which sets its own terms.
The guarantee is in addition to, and does not limit, your rights under the Australian Consumer Law.
7. Support
We provide support by email at [email protected]. Our first reply targets depend on your plan:
- Free: documentation, and email on a best-effort basis
- Solo and Studio: email, first reply within 2 business days
- Team: priority email, first reply within 1 business day
- Enterprise: as set out in your agreement
On every plan, report a security issue or suspected unauthorised access to [email protected]. We aim to reply within 1 business day.
Business days are Monday to Friday, excluding Queensland public holidays, in Brisbane time (AEST, UTC+10). These are targets for a first human reply, not guaranteed resolution times, and they do not carry service credits.
8. Intellectual property
AgentValet and its underlying technology are owned by AIFirstPartner. These Terms do not grant you any intellectual property rights in the Service beyond the limited right to use it as described.
You retain ownership of all data you upload, including agent configurations and credentials. You grant us a limited licence to process that data solely to deliver the Service.
9. Confidentiality
Each party agrees to keep the other's confidential information (including your credentials, agent configurations, and our technical architecture) confidential and not to disclose it to third parties except as required by law or with prior written consent.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure against all threats. You are responsible for validating the behaviour of your AI agents before deploying them in production.
11. Limitation of liability
To the maximum extent permitted by applicable law, AIFirstPartner and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:
- Actions taken by AI agents registered under your account
- Unauthorised access to or loss of your data
- Errors or omissions in platform API responses relayed by the proxy
- Service interruptions or downtime
Our total cumulative liability to you shall not exceed the amount you paid us in the 12 months preceding the claim, or AUD $100 if no amount has been paid. Fees are charged in USD; amounts under this clause are measured in Australian dollars.
Nothing in these Terms excludes or limits any consumer guarantee or right under the Australian Consumer Law that cannot be excluded or limited by law.
12. Termination
You may terminate your account at any time from the dashboard. We may terminate or suspend your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
13. Governing law
These Terms are governed by the laws of the state of Queensland, Australia. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland, except that either party may seek injunctive relief in any jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or an in-app notice. Continued use of the Service after changes take effect constitutes your acceptance.
