By accessing or using AgentValet ("the Service") you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.
If you do not agree to these Terms, do not use the Service.
AgentValet provides an identity and governance layer for AI agents, including:
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
You must provide a valid email address to create an account. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us immediately at [email protected] if you suspect unauthorised access.
You are responsible for any actions taken by AI agents registered under your account. You must not share account credentials or allow third parties to access your account without your knowledge.
You agree not to use the Service to:
We may suspend or terminate accounts that violate these rules without prior notice.
Access to the AgentValet API requires a valid RS256-signed JWT issued by a registered agent. Rate limits apply per agent and per plan tier. Exceeding rate limits may result in temporary throttling or suspension of the agent.
You must not attempt to reverse-engineer the proxy, forge authentication tokens, or extract credentials from the vault outside of the authorised proxy flow.
Paid plans are billed monthly or annually in advance. All fees are stated in USD unless otherwise specified. Payments are processed by Stripe. By providing payment details you authorise us to charge your payment method on the applicable billing cycle.
We do not offer refunds for partial months. If you downgrade or cancel, your plan remains active until the end of the current billing period.
We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
AgentValet and its underlying technology are owned by AIFirstPartner. These Terms do not grant you any intellectual property rights in the Service beyond the limited right to use it as described.
You retain ownership of all data you upload, including agent configurations and credentials. You grant us a limited licence to process that data solely to deliver the Service.
Each party agrees to keep the other's confidential information (including your credentials, agent configurations, and our technical architecture) confidential and not to disclose it to third parties except as required by law or with prior written consent.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure against all threats. You are responsible for validating the behaviour of your AI agents before deploying them in production.
To the maximum extent permitted by applicable law, AIFirstPartner and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:
Our total cumulative liability to you shall not exceed the amount you paid us in the 12 months preceding the claim, or NZD $100 if no amount has been paid.
You may terminate your account at any time from the dashboard. We may terminate or suspend your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
These Terms are governed by the laws of the state of Queensland, Australia. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland, except that either party may seek injunctive relief in any jurisdiction.
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or an in-app notice. Continued use of the Service after changes take effect constitutes your acceptance.
